Textosan Software License Agreement

This End User License Agreement (the "Agreement") is made between you ("Licensee" or "You") and the licensor ("Licensor" or "We") who is the provider of the Textosan product and associated tools including desktop, web-based or hybrid applications, consisting of compiled code, source code, documentation, related media and services (the "Product"). By downloading, installing, or using the Product, the Licensee agrees to be bound by the terms of this Agreement. Furthermore, the Licensee agree that this agreement shall supersede any previous agreements.

1. License Types

The Product may be licensed under:

  • Perpetual License: A one-time purchase granting rights to a specific Product version indefinitely, excluding future updates unless separately purchased.
  • Subscription License: Time-limited access requiring periodic renewal, which includes updates and support as specified.

The document, electronic or written, defining the Licensee's subscription plan or license type, including the number of users, platform(s), version(s), and applicable fees (the "Order") will specify the license type and terms.

2. License Grant

Upon purchasing the Product, the Licensee is granted a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Product on devices the Licensee owns or controls for commercial or non-commercial use, subject to the terms of this Agreement. The licensee agrees to be bound by the terms of this Agreement. Furthermore, the Licensee agrees that this agreement shall supersede any previous agreements.

3. Access, Ownership and Restrictions

The Product is licensed, not sold. All title, ownership rights, and intellectual property rights in and to the Product, including any updates or enhancements, remain with Licensor and its licensors.

  • The Licensee may access and use the Product subject to this Agreement and any applicable Order.
  • Platform compatibility (Windows, macOS, Linux, different web browsers, etc.) and access to web services are as defined in the Order or on the Licensor's website.
  • The Licensor may modify the features or availability of the Product, provided that core functionality as defined in the Order is not materially reduced during the subscription term.

The licensee may not:

  • Modify, translate, adapt, or create derivative works of the Product.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code.
  • Lease, rent, sublicense, distribute, or otherwise transfer the Product to third parties.
  • Circumvent or attempt to bypass any license management, security, or activation features.
  • Remove or obscure any copyright, trademark, or other proprietary notices.
  • Use the Product for any unlawful or harmful purpose.
  • Use the Product to infringe on the rights of others.
  • Disrupt, interfere with, or harm the operation of the Product or other users.
  • Use the Product in any manner that could damage Licensor’s reputation or Product integrity.

4. Activation and License Validation

The Product may require online activation as well as periodic online license validation. Failure to complete activation or validation may result in limited functionality or disabled access to the Product.

5. Automatic Updates

The Product may include automatic update functionality. By using the Product, the Licensee consents to the automatic downloading and installation of updates, which may include bug fixes, new features, or changes to functionality. The Licensee may opt out of automatic updates where the Product provides that option, though doing so may affect performance, security, access to features or similar aspects of the Product.

6. Data Collection and Crash Reporting

The Product may collect technical information, such as crash reports, error logs, system data, and usage statistics. This information may be transmitted to the Licensor to help diagnose problems and improve the Product. No personally identifiable information will be collected without the Licensee's explicit consent.

7. Third-Party Software and Licenses

The Product includes software libraries developed by third parties. All such libraries are subject to their respective licenses. Nothing in this Agreement limits the Licensee's rights under those third-party licenses.

8. Multi-Platform Use and Web Access

The Product may be made available on multiple platforms (e.g. Windows, MacOS, Linux, different web browsers and so on). Feature availability and stability may vary by platform. The Licensor does not guarantee full compatibility across systems.

The Licensor may offer a web-based version of the Product. Access to the web version may require account creation and may be limited to certain users or features. The Licensor reserves the right to modify or discontinue any version of the Product at any time without liability or obligation to users.

9. User Content and Analysis Features

The Product includes features for textual and linguistic analysis, including but not limited to statistical overviews and network graph visualization.

the Licensee retains ownership and all rights to any data or content created using the Product or uploaded to the Licensor's online services. The Licensor does not claim ownership over such content and does not store it on its servers unless explicitly authorized by the Licensee.

10. License Scope and Types

Unless otherwise specified, this license is for individual use only. If the Licensee intends to use the Product in an organization or team environment, a separate enterprise license may be required.

11. Beta Software

If the Licensee receives access to any beta or pre-release version of the Product, the Licensee acknowledges that such versions are experimental, may contain bugs, and are provided “as-is” without any warranties. Use of beta features is at the Licensee's own risk.

12. Support and Refunds

The Licensor offers limited user support. While the Licensor strives to assist users in resolving issues, We do not guarantee bug fixes, updates, or support responses.

The Licensor offers a 30-day money-back guarantee from the date of original purchase when purchased through the Licensor's own website. Refund requests must be submitted within this period with proof of purchase. After 30 days, all sales are final unless required by law. Copies of the software bought through other marketplaces such as app stores are subject to separate terms.

13. Feedback and Suggestions

By providing feedback or suggestions regarding the Software, the Licensee grants the Licensor a royalty-free, worldwide, perpetual license to use, modify, and incorporate such feedback without obligation or compensation. Any feedback provided by the Licensee may be used by the Licensor without restriction.

14. Subscription and perpetual license terms

Subscriptions automatically renew unless canceled as defined in the Order. Either Party may terminate with notice prior to the renewal date.

A perpetual license Grants a right to use a specific version of the Product indefinitely. It Does not include future upgrades unless explicitly stated in the order confirmation received after purchasing said license.

15. Fees and Payment

Fees are defined in the Order and may, for example, include:

  • One-time license fees;
  • Recurring subscription fees;
  • Usage-based charges.

Late payments may result in suspension of access without any prior notification from the Licensor.

16. Termination

This Agreement is effective until terminated. The Licensor may terminate the Agreement immediately if the Licensee violates any term of the Agreement.

Upon termination the Licensee must uninstall and delete all copies of the Product. The Licensor may disable access to online services at any time after termination and delete any stored data unless strictly prohibited by law.

Clauses with regards to ownership and limitations of liability shall survive termination.

17. No Warranty

THE PRODUCT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE LICENSEE'S USE OF THE PRODUCT.

19. Export Compliance

the Licensee agrees to comply with all applicable export laws and regulations. the Licensee may not export or re-export the Product in violation of any such law.

20. Assignment and Transfer

the Licensee may not assign or transfer their rights or obligations under this Agreement without the Licensor’s prior written consent. Licensor may assign this Agreement without restriction.

21. Governing Law and Dispute Resolution

This Agreement shall be governed by and interpreted in accordance with the laws of Sweden, without regard to conflict of law rules.

Any disputes arising under this Agreement shall be exclusively resolved by Swedish courts, unless both parties mutually agree to binding arbitration or mediation.

22. Severability and Waiver

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any part of this Agreement shall not constitute a waiver of any right.

23. Force Majeure

The Licensor shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or interruptions in internet or communications services.

24. Entire Agreement

This Agreement together with any purchase terms as well as Terms of Service constitutes the entire agreement between the Licensee and Licensor with respect to the Product, superseding all prior or contemporaneous understandings.

This Agreement may be updated by the Licensor upon notice. Continued use of the Product indicates acceptance of such changes.
